Crio Canada Inc Retailer Application and Agreement

Required Application Documents

1. For Canadian-based or foreign businesses, a copy of your GST, PST, HST, VAT or similar license.
2. A copy of the driver’s licenses of all retailer agents.

You may submit the required documents by regular mail, email or fax. 

Once Crio has received the documents, we will review and notify you of acceptance by email within two business days. You will then be asked to create an account on www.criobru.ca after which you’ll be granted wholesale pricing.

Credit Information

We must keep a valid credit card on file which will serve as your default account to charge purchases, shipping and fees and to. However, you may place an order on www.criobru.ca with another card at any time. Upon approval, Crio will request this credit card information which will remain secure following PCI Compliance standards.

Net30 terms may be requested after 120 days. 

MAP Pricing

To assure integrity of its product line, fair pricing and an orderly marketplace, the retailer agrees not to advertise any Crio products online at a price lower than Crio’s minimum advertised price, hereinafter called MAP. MAP refers to and is applicable to all published, advertised or publicly posted prices for online sale, regardless of the manner communicated and irrespective of the format or medium of communication, whether it be by electronic mail, postcard, flyer, radio or television, billboard, magazine, trade journal, newspaper insert, website banner or similar ad, webpage, facsimile, mailings, pre-recorded telemarketing messages, or any other form of advertising. MAP does not apply to non-advertised prices nor to in-store (offline) pricing. 

Crio will establish, maintain and support an on-going MAP program for its product line. MAP levels will be set and actively monitored.

Crio is free to set its own prices and may sell products at any price in its sole discretion. The restriction contained herein is with respect to advertising, marketing, publishing or broadcasting prices for public dissemination.

Crio shall determine MAP for all Crio products, in its sole and absolute discretion. Crio reserves the right to set, change, modify or discontinue any product, or MAP at any time, without notice and without liability.

Unless otherwise notified, MAP prices are those listed on www.criobru.ca. Retailer will be notified of price changes on www.criobru.ca as they are changed. 

All products advertised on a website or via email must be advertised with a price greater than or equal to MAP.

All automatic email responses to price inquiries must comply with MAP policy.

Retailer shall only advertise Crio products at prices greater than or equal to MAP.

eBay and other auction sites policy:

1. “Buy It Now” options must be listed at a price equal to MAP or greater.
2. Opening bids must start at MAP, with or without a “Buy It Now” option.
3. All sellers on eBay, or similar auction sites, must have a website or retail location.

Should retailer fail to comply with the terms of this Agreement, retailer shall immediately lose their retailer account and all unpaid balances outstanding to Crio shall become immediately due and payable.

Crio reserves the right, in its sole discretion, to determine all violations of its MAP policy.

Authorization

I authorize Crio Canada Inc. to charge purchases, shipping and fees to the credit card our company keeps on file with Crio. I agree to abide by all terms outlined in this Agreement. Crio may suspend at their discretion, either permanently or temporarily, retailer privileges outlined in this Agreement. I understand that Crio enters into this Agreement with a full reservation of rights and may amend this Agreement in the future with notification provided to the account holder within a reasonable time and opportunity to enter into a revised contract of the new Agreement’s terms.
